Who these terms are with

These terms are between you and RUZIBA Group LLC, a Florida limited liability company ("we", "us"). They apply to your use of the SimpleSeller app. You must be 18 or older to use SimpleSeller, and old enough to make a binding agreement where you live (if that age is higher)..

When you first open SimpleSeller, and when we make a material change to these terms or the Privacy Policy, the app asks you to tick a box saying you agree to the Terms of Service and the Privacy Policy and then tap Continue. The box is not ticked for you, and links open the full documents. The app saves on your device which versions you accepted, the date and time on your phone, and the app version; it records no name or account. If you use Delete app data, that record is deleted and the app asks you again.

What SimpleSeller is

SimpleSeller is a record-keeping tool for your own small business: a catalogue, stock, orders, recorded payments, receipts, packing lists and address labels. What it shows comes from what you enter. Address labels are generic address labels: they contain no postage and no carrier label, and the app does not buy postage, contact carriers or check shipment status. Any status you see was entered by you.

What SimpleSeller is not

  • It is not accounting or tax software. The estimated gross profit is a rough estimate from recorded sales, not accounting or tax profit. The CSV export is a handoff for your accountant, not an accounting or tax report.
  • It does not take, process or verify payments. A payment in SimpleSeller is an amount you record yourself.
  • It does not convert between currencies, check exchange rates, or work out sales tax, VAT or any other tax. Each amount is shown in the currency you chose or recorded it in, and the country or region setting only suggests a currency.
  • SimpleSeller does not give legal, tax, accounting or financial advice. It is not a payment provider, a delivery provider, a warranty provider or a marketplace, and we are not a party to any sale between you and your customers or to any dispute between you.
  • A packing list is for fulfilment only. It is not a receipt or an invoice. Whether a receipt made in the app meets any requirement for a sales receipt or tax invoice where you trade is for you to check.

Your records and your customers

  • Your records are stored only on your device. You are responsible for their accuracy and for keeping your own backups (Settings, Backup & Restore). The backup the app makes stays on your device and the app has no way to move or share it, so it does not protect you if the device is lost or the app is deleted. If you lose the backup password, nobody can restore the backup.
  • Customer names, addresses and phone numbers you record are information about other people. You are responsible for recording, using and sharing them lawfully. You are also responsible for your products and services and their descriptions and prices; taxes; receipts and invoices; fulfilment and delivery; returns, refunds and warranties; your customer communications; your obligations to your customers under consumer and other business law; and your records.
  • Deleting data (Delete app data, or uninstalling the app) cannot be undone.

Plan limits

SimpleSeller 1.0.0 has one plan, the Free plan, with limits (30 products, 10 active orders at a time, and one business category). Everything you have already added stays usable at the limit. The limits are shown in Settings. This version has no paid plan and no way to buy one. If we offer a paid plan later, we will show its price and terms before you can buy it, and they are not part of these terms.

Acceptable use

Use SimpleSeller lawfully. Do not use it to commit fraud, to infringe someone else's rights, to interfere with or damage the app or anyone's device, to try to bypass or compromise its security, or in any way that breaks the law or another person's rights.

What we support

We can help with: a technical defect in the app, security or privacy concerns about the app, and questions about these terms or the privacy policy. We do not provide customer service for your business. We are not responsible for your product quality or descriptions, orders, fulfilment, cancellations, returns or refunds, warranties, payment disputes between you and your customers, or the service of any delivery company. If we ever offer a paid plan, we will also help with questions about our own charges.

Changes and availability

The app works offline. When we change these terms we will update this page and its effective date. If we introduce a change that needs your acceptance, the app asks you to accept the new version before you continue (a change to the major version number of the Terms or the Privacy Policy). Smaller corrections do not need a new acceptance..

Warranty disclaimer and limit of liability

As is. To the maximum extent permitted by applicable law, SimpleSeller is provided "as is" and "as available", without warranties of any kind, express or implied, including implied warranties of merchantability, fitness for a particular purpose and non-infringement. We do not promise that it will be error-free or uninterrupted, or that your records will never be lost. Keep your own backups.

Limit. To the maximum extent permitted by applicable law, we are not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, lost sales, lost business, or lost or damaged data, arising from your use of or inability to use SimpleSeller.

What this does not limit. Nothing in these terms removes or limits any right or liability that cannot lawfully be waived or excluded, including rights you have under mandatory consumer-protection law that applies to you, and our duties under privacy and security law that applies to us.

Governing law

These terms are governed by the laws of the State of Florida, United States, subject to any mandatory law that applies to you and cannot be waived These terms do not require arbitration and do not waive your right to bring a claim as a class. Nothing in these terms removes rights that cannot lawfully be waived.
